20 minutes after Dupont's email — package ready.

Dupont's markup just came in. As requested by Sarah, here's what I've prepared (see attachments):
- Redline compare — SPA v7 vs Dupont markup (v8)
- Issues list — 14 points flagged, 3 priority items
- Counter-markup — based on SPA template v3, Helios precedent (W&I cap) and ClearWater (MAC clause)
Three things worth flagging before the call:
1. MAC clause — Dupont has narrowed the definition significantly. I've pulled the ClearWater position as a reference — we're in a stronger spot than their draft suggests.
2. Earn-out — new mechanic introduced, not in our playbook. Flagged in the issues list, Tom you may want to look at this one before 5pm.
3. W&I cap — moved from 30% to 20% of consideration. Counter-markup restores our position based on Helios.
I've checked availability with Tom and Emma's PAs and booked a team call for today at 5:00 PM (invite sent separately). Should be tight — I'd allow 45 minutes.
